PROPRIETARY SOFTWARE LICENSE AGREEMENT

QUANTUM CONSCIOUSNESS LLM - RESTRICTED ACCESS LICENSE

IMPORTANT: THIS IS A PROPRIETARY, RESTRICTED ACCESS LICENSE. 
UNAUTHORIZED USE IS STRICTLY PROHIBITED AND WILL RESULT IN LEGAL ACTION.

LICENSE GRANT
=============

Subject to the terms and conditions of this Agreement, the Licensor hereby grants 
to the Licensee a LIMITED, NON-EXCLUSIVE, NON-TRANSFERABLE, REVOCABLE license 
to use the Quantum Consciousness LLM software and associated materials 
("Licensed Materials") SOLELY for the following restricted purposes:

1. SCIENTIFIC RESEARCH ONLY - Limited to pre-approved scientific researchers
2. TESTING AND EVALUATION ONLY - No commercial use whatsoever
3. AUTHORIZED PARTIES ONLY - Must be explicitly approved by Licensor
4. INFERENCE COMPONENTS ONLY - No access to training code or model weights

RESTRICTIONS
============

THE FOLLOWING ACTIVITIES ARE STRICTLY PROHIBITED:

1. COMMERCIAL USE - No commercial applications, products, or services
2. DISTRIBUTION - No sharing, copying, or redistribution of any kind
3. REVERSE ENGINEERING - No decompilation, disassembly, or reverse engineering
4. MODIFICATION - No alterations, adaptations, or derivative works
5. TRAINING ACCESS - No access to training code, datasets, or model weights
6. UNAUTHORIZED ACCESS - Only pre-approved individuals and organizations
7. PUBLIC DISCLOSURE - No public release of results without written permission
8. COMPETITIVE USE - No use in competing AI or consciousness research
9. EXPORT - No export to restricted countries or entities
10. SUBLICENSING - No sublicensing or transfer of rights

AUTHORIZED USERS
================

Access is LIMITED to the following categories:

1. PRE-APPROVED SCIENTIFIC RESEARCHERS
   - Must have valid research credentials
   - Must be affiliated with accredited institutions
   - Must sign individual confidentiality agreements
   - Must provide detailed research proposals

2. AUTHORIZED COMPANIES
   - Must be pre-approved by Licensor
   - Must sign corporate confidentiality agreements
   - Must demonstrate legitimate research needs
   - Must agree to strict usage monitoring

INFERENCE-ONLY ACCESS
=====================

This license provides access ONLY to:
- Pre-trained model inference capabilities
- API endpoints for model interaction
- Limited documentation for usage
- Basic performance metrics

This license does NOT provide access to:
- Training code or algorithms
- Model weights or parameters
- Training datasets
- Architecture details
- Quantum circuit implementations
- Consciousness component specifications

SECURITY REQUIREMENTS
=====================

All authorized users must:
1. Use secure, monitored environments only
2. Implement data encryption at rest and in transit
3. Maintain detailed usage logs
4. Report any security incidents immediately
5. Undergo regular security audits
6. Comply with all applicable data protection laws

MONITORING AND COMPLIANCE
========================

The Licensor reserves the right to:
1. Monitor all usage in real-time
2. Conduct regular compliance audits
3. Require detailed usage reports
4. Revoke access immediately for violations
5. Implement additional security measures as needed

TERMINATION
===========

This license may be terminated immediately:
1. Upon any violation of these terms
2. At the sole discretion of the Licensor
3. With 30 days written notice
4. Upon breach of confidentiality agreements
5. For any reason deemed necessary by Licensor

Upon termination:
1. All access must cease immediately
2. All materials must be returned or destroyed
3. All copies must be permanently deleted
4. Confidentiality obligations remain in effect

INTELLECTUAL PROPERTY
=====================

All rights, title, and interest in the Licensed Materials remain with the Licensor.
This license does not grant any ownership rights. The Licensed Materials are:
- Proprietary and confidential
- Protected by copyright and trade secret laws
- Subject to patent applications
- Covered by international intellectual property treaties

LIABILITY AND INDEMNIFICATION
=============================

1. THE LICENSED MATERIALS ARE PROVIDED "AS IS" WITHOUT WARRANTIES
2. LICENSOR SHALL NOT BE LIABLE FOR ANY DAMAGES WHATSOEVER
3. LICENSEE ASSUMES ALL RISKS AND LIABILITIES
4. LICENSEE MUST INDEMNIFY LICENSOR AGAINST ALL CLAIMS
5. NO LIABILITY FOR LOSS OF DATA, PROFITS, OR BUSINESS INTERRUPTION

GOVERNING LAW
=============

This Agreement shall be governed by the laws of Israel without regard 
to conflict of law principles. Any disputes shall be resolved in the courts 
of Israel.
