These Elastic Models Pay-As-You-Go Product Terms ("Elastic Models Terms")
|
| 13 |
+
govern Customer's access to and use of the Elastic Models product on the
|
| 14 |
+
TheStage platform (the "Platform"). They are incorporated into and form part
|
| 15 |
+
of the Platform Terms of Service or other master agreement between Customer
|
| 16 |
+
and TheStage (the "Master Terms"). If there is a conflict, these Elastic
|
| 17 |
+
Models Terms control only for Elastic Models.
|
| 18 |
+
|
| 19 |
+
By accessing or using Elastic Models, Customer agrees to these Elastic Models
|
| 20 |
+
Terms.
|
| 21 |

2. PRODUCT DESCRIPTION
|
| 69 |
+
|
| 70 |
+
Elastic Models provide a library of models that Customer may access on-demand
|
| 71 |
+
through the Platform UI, API, or other interfaces. Elastic Models are
|
| 72 |
+
provided as a managed service: Customer receives the ability to run models
|
| 73 |
+
and obtain Outputs, but does not receive model weights or source code unless
|
| 74 |
+
expressly stated in the Platform for a specific model.
|
| 75 |
+
|
| 76 |
+
Where available, Elastic Models may be offered in multiple performance tiers
|
| 77 |
+
or modes (for example, S, M, L, and XL) that represent different latency,
|
| 78 |
+
cost, memory, and quality trade-offs for a given model.
|
| 79 |
+
|
| 80 |
+
Elastic Models may include features such as:
|
| 81 |
+
|
| 82 |
+
- model discovery and documentation;
|
| 83 |
+
- selection of model tiers/modes (e.g., S, M, L, XL) where available;
|
| 84 |
+
- on-demand execution with metering and time-based billing;
|
| 85 |
+
- task execution in Projects and/or Containers (where enabled);
|
| 86 |
+
- usage limits, quotas, or concurrency controls.
|
| 87 |
+
|
| 88 |
+
Each model listing may indicate the model's provider, license/terms,
|
| 89 |
+
permitted use, and any additional restrictions. Customer is responsible for
|
| 90 |
+
reviewing and complying with those model-specific terms.
|
| 91 |
+
|
| 92 |
+
|
| 93 |
+
3. LICENSE AND ACCESS RIGHTS
|
| 94 |
+
|
| 95 |
+
3.1 License Grant. Subject to these Elastic Models Terms, the Master Terms,
|
| 96 |
+
compliance with the AUP, and payment of applicable fees, TheStage grants
|
| 97 |
+
Customer a limited, non-exclusive, non-transferable, revocable right to
|
| 98 |
+
access and use Elastic Models during the Term solely as permitted in the
|
| 99 |
+
Platform for the applicable Elastic Model (including any model-specific usage
|
| 100 |
+
restrictions).
|
| 101 |
+
|
| 102 |
+
3.2 Permitted Use. Subject to the Master Terms, these Elastic Models Terms,
|
| 103 |
+
the AUP, and applicable Third-Party Model Terms, Customer may use Elastic
|
| 104 |
+
Models to:
|
| 105 |
+
|
| 106 |
+
- submit Customer Content and run inference to generate Outputs;
|
| 107 |
+
- select available tiers/modes (including, where offered, S/M/L/XL) and
|
| 108 |
+
configure runtime parameters;
|
| 109 |
+
- use Elastic Models within Projects and/or Containers (where supported) to
|
| 110 |
+
execute tasks and workflows;
|
| 111 |
+
- evaluate and test Elastic Models internally, including internal
|
| 112 |
+
benchmarking;
|
| 113 |
+
- incorporate Outputs into Customer applications, products, or services,
|
| 114 |
+
solely to the extent permitted for the applicable model and in compliance
|
| 115 |
+
with Third-Party Model Terms and law;
|
| 116 |
+
- use documentation, SDKs, APIs, and other interfaces provided by TheStage
|
| 117 |
+
to integrate Elastic Models into Customer workflows.
|
| 118 |
+
|
| 119 |
+
3.3 Prohibited Use. Customer will not (and will not allow any third party
|
| 120 |
+
to):
|
| 121 |
+
|
| 122 |
+
- use Elastic Models or Outputs in any manner that violates the AUP,
|
| 123 |
+
applicable law, or third-party rights;
|
| 124 |
+
- resell, rent, lease, sublicense, white-label, or provide Elastic Models
|
| 125 |
+
to third parties as a standalone service, time-sharing arrangement, or
|
| 126 |
+
service bureau;
|
| 127 |
+
- circumvent billing, metering, rate limits, quotas, or other usage
|
| 128 |
+
controls (including by creating multiple accounts to avoid limits);
|
| 129 |
+
- remove, obscure, or alter any required attribution, proprietary notices,
|
| 130 |
+
usage restrictions, safety features, or technical protections;
|
| 131 |
+
- use Elastic Models to generate or facilitate malware, exploit code, or
|
| 132 |
+
other harmful content, or to impersonate others in violation of law or
|
| 133 |
+
the AUP;
|
| 134 |
+
- access or attempt to access model weights, parameters, or underlying
|
| 135 |
+
source code (except to the extent explicitly provided for a particular
|
| 136 |
+
model);
|
| 137 |
+
- reverse engineer, decompile, disassemble, or otherwise attempt to derive
|
| 138 |
+
the source code or underlying ideas of any Elastic Model or Model
|
| 139 |
+
Runtime;
|
| 140 |
+
- bypass, remove, or circumvent technical limitations, usage controls, or
|
| 141 |
+
security measures;
|
| 142 |
+
- use Elastic Models to build, train, or improve a competing
|
| 143 |
+
model-as-a-service or to replicate model functionality, except as
|
| 144 |
+
permitted by applicable law that cannot be excluded;
|
| 145 |
+
- benchmark, publish, or disclose performance results of Elastic Models
|
| 146 |
+
without TheStage's prior written permission (unless prohibited by law).
|
| 147 |
+
|
| 148 |
+
3.4 Model-Specific and Third-Party Terms. Additional model-specific terms may
|
| 149 |
+
apply to a particular Elastic Model (including Third-Party Model Terms and
|
| 150 |
+
permitted use limitations). TheStage may make such terms available in the
|
| 151 |
+
Platform (including via model listings, documentation links, and/or
|
| 152 |
+
third-party URLs). Customer's rights to use a specific Elastic Model are
|
| 153 |
+
conditioned on compliance with those model-specific terms.
|
| 154 |
+
|
| 155 |
+
|
| 156 |
+
4. CUSTOMER CONTENT AND OUTPUTS
|
| 157 |
+
|
| 158 |
+
4.1 Ownership. As between the parties, Customer retains all rights in
|
| 159 |
+
Customer Content. Subject to Section 4.3, Customer owns its Outputs.
|
| 160 |
+
|
| 161 |
+
4.2 License to Operate. Customer grants TheStage and its subprocessors a
|
| 162 |
+
limited license to host, copy, transmit, process, and display Customer
|
| 163 |
+
Content solely as necessary to provide, maintain, and secure Elastic Models
|
| 164 |
+
and related Platform features, and to comply with law.
|
| 165 |
+
|
| 166 |
+
4.3 Similarity and Non-Exclusivity. Outputs may not be unique, and other
|
| 167 |
+
customers may receive similar outputs. TheStage does not guarantee that
|
| 168 |
+
Outputs will be free of third-party rights.
|
| 169 |
+
|
| 170 |
+
|
| 171 |
+
5. PAY-AS-YOU-GO METERING AND BILLING
|
| 172 |
+
|
| 173 |
+
5.1 Metering. Usage is measured using the metering methods shown in the
|
| 174 |
+
Platform (for example, per minute of runtime, per request, per token, or
|
| 175 |
+
other units). TheStage may round Usage to the nearest billing increment (for
|
| 176 |
+
example, per-second, per-minute, or per-1000 tokens) as disclosed in the
|
| 177 |
+
Platform.
|
| 178 |
+
|
| 179 |
+
5.2 Wallet Charges. Customer authorizes TheStage to deduct Usage Fees from
|
| 180 |
+
Customer's Wallet balance as Usage accrues. If the Wallet balance is
|
| 181 |
+
insufficient, TheStage may (a) pause or stop Elastic Model execution, (b)
|
| 182 |
+
prevent new executions, and/or (c) attempt to charge an additional top-up
|
| 183 |
+
payment method, if enabled.
|
| 184 |
+
|
| 185 |
+
5.3 Rates. Rates for each Elastic Model (and any minimum fees) will be
|
| 186 |
+
displayed in the Platform or in a written order form. TheStage may change
|
| 187 |
+
rates prospectively by updating the Platform pricing page or providing notice
|
| 188 |
+
as required under the Master Terms.
|
| 189 |
+
|
| 190 |
+
5.4 No Refunds for Consumed Usage. Usage Fees are non-refundable once Usage
|
| 191 |
+
is incurred, except where required by law or expressly stated in the
|
| 192 |
+
Platform.
|
| 193 |
+
|
| 194 |
+
5.5 Taxes. Fees are exclusive of taxes. Customer is responsible for
|
| 195 |
+
applicable taxes, except taxes on TheStage's net income.
|
| 196 |
+
|
| 197 |
+
|
| 198 |
+
6. OPERATIONAL CONTROLS, LIMITS, AND ABUSE PREVENTION
|
| 199 |
+
|
| 200 |
+
Elastic Models may include usage limits (for example, maximum concurrent
|
| 201 |
+
runs, rate limits, maximum runtime, or quota ceilings). TheStage may enforce
|
| 202 |
+
such limits to protect Platform integrity and to prevent abuse.
|
| 203 |
+
|
| 204 |
+
TheStage may suspend or restrict Elastic Models access if it reasonably
|
| 205 |
+
believes:
|
| 206 |
+
|
| 207 |
+
- Customer's use violates the AUP, law, or third-party rights;
|
| 208 |
+
- Customer's use threatens Platform security, stability, or availability;
|
| 209 |
+
- Customer's Wallet is insufficient to cover ongoing Usage Fees;
|
| 210 |
+
- continued operation may create material risk of harm to TheStage or
|
| 211 |
+
others.
|
| 212 |
+
|
| 213 |
+
|
| 214 |
+
7. THIRD-PARTY MODELS AND DEPENDENCIES
|
| 215 |
+

Elastic Models may include Third-Party Models and other third-party software
|
| 217 |
+
or components (including open source components).
|
| 218 |
+
|
| 219 |
+
Certain Elastic Models may require Customer to maintain its own third-party
|
| 220 |
+
accounts and credentials (for example, a Hugging Face access token) to
|
| 221 |
+
download, access, or use original model weights, configurations, or other
|
| 222 |
+
components subject to Third-Party Model Terms. Customer is responsible for
|
| 223 |
+
obtaining and maintaining such credentials and for complying with the
|
| 224 |
+
applicable Third-Party Model Terms. TheStage does not grant Customer any
|
| 225 |
+
rights to third-party model weights or materials beyond what those
|
| 226 |
+
Third-Party Model Terms permit.
|
| 227 |
+
|
| 228 |
+
7.1 Third-Party Model Terms. Use of a Third-Party Model may be subject to
|
| 229 |
+
additional terms (for example, license agreements, acceptable use policies,
|
| 230 |
+
attribution requirements, and use restrictions) that are presented in the
|
| 231 |
+
Platform, in applicable documentation, and/or by reference to third-party
|
| 232 |
+
URLs ("Third-Party Model Terms"). Any summaries, annotations, or pointers
|
| 233 |
+
provided by TheStage are for convenience only and do not replace the full
|
| 234 |
+
Third-Party Model Terms.
|
| 235 |
+
|
| 236 |
+
7.2 Incorporation and Priority. Third-Party Model Terms are incorporated into
|
| 237 |
+
these Elastic Models Terms. If there is a conflict between these Elastic
|
| 238 |
+
Models Terms and the Third-Party Model Terms for a specific Third-Party
|
| 239 |
+
Model, the Third-Party Model Terms will control for that model.
|
| 240 |
+
|
| 241 |
+
7.3 Customer Responsibilities. Customer is solely responsible for (a)
|
| 242 |
+
complying with all Third-Party Model Terms, (b) ensuring its intended use
|
| 243 |
+
(including commercial use, production use, distribution, or fine-tuning) is
|
| 244 |
+
permitted, and (c) obtaining any required separate licenses or permissions
|
| 245 |
+
from the third-party licensor. Customer will not use a Third-Party Model in a
|
| 246 |
+
manner that would cause TheStage or the licensor to be in breach of the
|
| 247 |
+
applicable Third-Party Model Terms.
|
| 248 |
+
|
| 249 |
+
7.4 Hosted Access vs. Distribution. Unless the Platform expressly permits
|
| 250 |
+
download or export of model weights, parameters, or other model artifacts for
|
| 251 |
+
a specific Elastic Model, Customer receives hosted access only. If Customer
|
| 252 |
+
distributes or makes available any Third-Party Model materials or derivative
|
| 253 |
+
works (where permitted), Customer must satisfy all pass-through obligations
|
| 254 |
+
under the applicable Third-Party Model Terms (for example, providing a copy
|
| 255 |
+
of the license, retaining attribution notices, and displaying any required
|
| 256 |
+
end-user notices).
|
| 257 |
+
|
| 258 |
+
7.5 Safety and Content Controls. Some Third-Party Model Terms require content
|
| 259 |
+
filtering measures and/or human review to prevent unlawful or infringing
|
| 260 |
+
content and may restrict or prohibit certain use cases (for example, military
|
| 261 |
+
use, surveillance, biometric processing, non-consensual intimate imagery, or
|
| 262 |
+
child sexual abuse material). Customer is responsible for using Elastic Models
|
| 263 |
+
in compliance with those restrictions and applicable law, including any
|
| 264 |
+
legally required AI-generated content disclosures.
|
| 265 |
+
|
| 266 |
+
7.6 Changes and Availability. Third-Party Models may be added, removed, or
|
| 267 |
+
changed from time to time. TheStage may disable access to a Third-Party Model
|
| 268 |
+
if it reasonably believes Customer is violating Third-Party Model Terms or if
|
| 269 |
+
the applicable licensing conditions change.
|
| 270 |
+
|
| 271 |
+
|
| 272 |
+
8. SECURITY, LOGGING, AND DATA RETENTION
|
| 273 |
+
|
| 274 |
+
TheStage may collect logs and telemetry related to Elastic Models usage (for
|
| 275 |
+
example, timestamps, resource consumption, error logs, and performance
|
| 276 |
+
metrics). Customer Content may be temporarily stored to process requests and
|
| 277 |
+
may be retained for limited periods for security, fraud prevention, and
|
| 278 |
+
compliance, as described in the Privacy Policy. TheStage is not obligated to
|
| 279 |
+
store or return Customer Content or Outputs, and Customer is responsible for
|
| 280 |
+
maintaining its own backups and records.
|
| 281 |
+
|
| 282 |
+
|
| 283 |
+
9. DISCLAIMERS SPECIFIC TO AI/ML OUTPUTS
|
| 284 |
+
|
| 285 |
+
Elastic Models generate probabilistic outputs and may produce inaccurate,
|
| 286 |
+
incomplete, or misleading information. Customer is responsible for evaluating
|
| 287 |
+
Outputs for accuracy and suitability, and for ensuring compliance with
|
| 288 |
+
applicable laws (including sector-specific regulations). Elastic Models are
|
| 289 |
+
not intended for high-risk use cases where failure could lead to death,
|
| 290 |
+
personal injury, or severe property or environmental damage, unless
|
| 291 |
+
explicitly agreed in writing.
|
| 292 |
+
|
| 293 |
+
ELASTIC MODELS ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT
|
| 294 |
+
PERMITTED BY LAW, THESTAGE DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED
|
| 295 |
+
WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND
|
| 296 |
+
NON-INFRINGEMENT, AND DOES NOT WARRANT THAT ELASTIC MODELS WILL BE
|
| 297 |
+
UNINTERRUPTED, ERROR-FREE, OR THAT OUTPUTS WILL BE ACCURATE OR SUITABLE FOR
|
| 298 |
+
ANY PARTICULAR PURPOSE.
|
| 299 |
+
|
| 300 |
+
|
| 301 |
+
10. TERMINATION; EFFECT
|
| 302 |
+
|
| 303 |
+
Upon termination of the Master Terms or suspension of Customer's account,
|
| 304 |
+
Customer's right to use Elastic Models ends immediately. Accrued Usage Fees
|
| 305 |
+
remain payable. Wallet balances are handled according to the Platform Billing
|
| 306 |
+
and Wallet Terms.
|
| 307 |
+
|
| 308 |
+
|
| 309 |
+
11. CHANGES
|
| 310 |
+
|
| 311 |
+
TheStage may update these Elastic Models Terms from time to time. If changes
|
| 312 |
+
are material, TheStage will provide notice as required under the Master
|
| 313 |
+
Terms. Continued use of Elastic Models after the effective date of an update
|
| 314 |
+
constitutes acceptance.
|
| 315 |
+
|
| 316 |
+
|
| 317 |
+
12. INDEMNIFICATION
|
| 318 |
+
|
| 319 |
+
In addition to any indemnities in the Master Terms, Customer will defend,
|
| 320 |
+
indemnify, and hold harmless TheStage, its affiliates, and their respective
|
| 321 |
+
officers, directors, employees, and agents from and against any claims,
|
| 322 |
+
damages, losses, liabilities, costs, and expenses (including reasonable
|
| 323 |
+
attorneys' fees) arising out of or related to: (a) Customer Content; (b)
|
| 324 |
+
Customer's use of Elastic Models or Outputs (including any Customer
|
| 325 |
+
applications, products, or services); (c) Customer's violation of these
|
| 326 |
+
Elastic Models Terms, the AUP, applicable law, or Third-Party Model Terms; or
|
| 327 |
+
(d) Customer's distribution, publication, or commercialization of Outputs or
|
| 328 |
+
any model artifacts where permitted.
